Terms of Service

1. Agreement to Terms
By accessing or using the services provided by Innovative Nectar ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
2. Services
Innovative Nectar provides automation infrastructure engineering, consulting, and related technology services including but not limited to:
- Infrastructure audits and friction analysis (Hive Audit)
- Custom automation system design and deployment (Nectar Node)
- Ongoing monitoring, optimization, and support (Deep Forest Protocol)
- API access for lead scoring, proposal generation, and analytics
3. Client Obligations
You agree to provide accurate information, maintain the confidentiality of any credentials we issue, and not misuse our services for unlawful purposes. You are responsible for ensuring your use of automation systems complies with applicable laws and regulations.
4. Intellectual Property
All custom automation systems, code, dashboards, and documentation we create for you during an engagement are owned by you upon full payment. Our proprietary frameworks, templates, tools, and methodologies remain our intellectual property.
5. Payment Terms
Payment terms are specified in each engagement's Statement of Work (SOW). Invoices are due within 30 days of issuance unless otherwise stated. Late payments may accrue interest at 1.5% per month.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes, but is not limited to, business processes, credentials, technical architecture, and client data.
7. Limitation of Liability
To the maximum extent permitted by law, Innovative Nectar shall not be liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.
8. Termination
Either party may terminate an engagement with 30 days' written notice. Upon termination, you retain ownership of all deliverables completed and paid for. Outstanding invoices remain due.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
